TERMS OF SERVICE — TALKWYSE

These Terms of Service (“Terms”) form a legally binding agreement between: (1) you (the person or entity using the Service), and (2) TalkWyse (“TalkWyse”, “we”, “us”, “our”), operated by [LEGAL COMPANY NAME], [LEGAL FORM], [REGISTERED ADDRESS].

These Terms govern your access to and use of:

our websites, and
our web application and related services

(collectively, the “Service”).

By creating an account, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1) DEFINITIONS

“Account” means your TalkWyse account. “Workspace” means the organization space in TalkWyse where you manage users, settings, integrations, and data. “Users” means individuals authorized to access your Workspace (team members). “Content” means all information and material you (or your end users) submit to, send through, or store in the Service, including messages, emails, attachments, media, identifiers (including user UUIDs/IDs), metadata, and conversation/thread identifiers. “Integrations” means the third-party platforms you connect to TalkWyse, currently: WhatsApp, Gmail, Slack, TikTok, Instagram, Facebook. “Platform Terms” means the terms/policies of each Integration platform.

2) ELIGIBILITY; AUTHORITY

2.1 Eligibility. You must be legally able to enter into these Terms under applicable law. 2.2 Organizational use. If you use TalkWyse on behalf of an organization, you represent that you have authority to bind that organization to these Terms. 2.3 Account accuracy. You agree to provide accurate information and keep it up to date. 2.4 Account security. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your Account and Workspace.

3) THE SERVICE (WHAT TALKWYSE DOES)

3.1 TalkWyse provides a unified inbox and messaging/helpdesk features, including:

connecting supported Integrations,
syncing and storing messages/emails and attachments (as enabled),
viewing, searching, organizing, and replying to messages (where supported and authorized),
collaboration features such as assignments, tags/labels, statuses, internal notes, and audit logs.

3.2 No scheduling/publishing. TalkWyse does NOT provide post scheduling or social publishing features. TalkWyse is messaging-only.

3.3 Changes. We may update or modify the Service over time. We will use reasonable efforts to provide notice of changes that materially reduce core functionality.

3.4 Availability. The Service may be unavailable at times (maintenance, outages, platform API changes). We do not guarantee uninterrupted availability.

4) INTEGRATIONS AND THIRD-PARTY PLATFORMS

4.1 Platform Terms apply. Your use of WhatsApp, Gmail, Slack, TikTok, Instagram, and Facebook is governed by each platform’s Platform Terms. You are responsible for compliance with those Platform Terms.

4.2 No affiliation. TalkWyse is an independent third-party service and is not affiliated with, endorsed by, or sponsored by WhatsApp/Meta, Google, Slack, TikTok, Instagram, or Facebook.

4.3 Your authority to connect. When you connect an Integration, you represent and warrant that:

you own or control the connected account/page/mailbox/workspace, or you have valid permission to connect it; and
you have authority to grant TalkWyse access and to allow TalkWyse to perform the actions you request.

4.4 Acting on your behalf (limited “agent” authorization). When you connect an Integration, you authorize TalkWyse to access, process, store, and display Integration data that: (a) the platform makes available via its APIs, (b) you authorize via permissions/scopes, and (c) is needed to provide TalkWyse messaging features.

If the Integration supports sending, you also authorize TalkWyse to send messages/emails on your behalf ONLY when a User in your Workspace initiates the send action inside TalkWyse (and only to the extent supported by the Integration and your settings).

4.5 Platform limitations. Integrations may be restricted, rate-limited, changed, suspended, or unavailable due to platform rules, eligibility, or region/product availability. TalkWyse is not responsible for third-party platform changes or restrictions.

4.6 Disconnect and revoke. You can disconnect Integrations within TalkWyse. Platforms may also allow you to revoke access within their own “authorized apps” / security settings.

5) ALLOWED USE

You may use TalkWyse only for legitimate business communications and internal collaboration related to messaging workflows, including:

responding to customer inquiries,
managing inbound support and sales conversations,
assigning and tracking conversations within your team,
storing conversation history for search and continuity,
using templates/saved replies and internal notes.

6) PROHIBITED USE (ACCEPTABLE USE POLICY)

You must NOT (and must not allow others to) use the Service to:

6.1 Illegal, harmful, or abusive activity

violate any law, regulation, court order, or legally enforceable obligation;
send spam, scams, phishing, or misleading/deceptive messages;
harass, threaten, or abuse others, or promote hate or discrimination;
collect, store, or share personal data in a way that violates privacy laws or Platform Terms;
impersonate any person or entity, or misrepresent affiliation.

6.2 Security and technical abuse

attempt to gain unauthorized access to the Service, other Workspaces, or platform accounts;
probe, scan, or test the vulnerability of the Service or any related system;
reverse engineer, decompile, disassemble, or attempt to discover source code or underlying ideas/algorithms (except where prohibited by law);
interfere with or disrupt the Service (including bypassing rate limits or access controls);
upload or transmit malware, viruses, or malicious code.

6.3 Rights violations / content misuse

upload, store, transmit, or use Content you do not have rights to use;
infringe copyright, trademarks, trade secrets, or other rights of any person;
use TalkWyse to facilitate infringement or unlawful distribution.

6.4 Misuse of platform access

use TalkWyse in a way that violates Platform Terms or attempts to bypass platform limitations;
scrape, harvest, or collect platform data outside of TalkWyse features or without proper authorization.

We may suspend or terminate access if we reasonably believe you violated these Terms or created risk to TalkWyse, users, or third parties.

7) CONTENT; OWNERSHIP; LICENSES

7.1 Your Content. As between you and TalkWyse, you retain ownership of your Content.

7.2 Your responsibilities for Content. You are responsible for your Content and represent and warrant that you have all rights, permissions, and consents necessary to:

connect your accounts,
provide Content to TalkWyse, and
allow TalkWyse to process Content to provide the Service.

7.3 License to TalkWyse (to operate the Service). You grant TalkWyse a limited, worldwide, non-exclusive, royalty-free license to host, store, process, transmit, display, and otherwise use your Content solely to:

provide and maintain the Service,
enable messaging features you use (including conversation threading and displaying attachments),
provide customer support,
comply with legal obligations,
enforce these Terms.

7.4 Feedback. If you provide suggestions or feedback, you grant TalkWyse the right to use it without restriction or compensation (but we won’t claim you own our product improvements).

8) INTELLECTUAL PROPERTY (TALKWYSE); COPYRIGHT BASICS

8.1 TalkWyse IP. TalkWyse (including the software, code, user interface, designs, logos, and documentation) is owned by TalkWyse or its licensors and is protected by intellectual property laws. Except for the limited rights granted to you in these Terms, no rights are granted.

8.2 Limited license to you. Subject to these Terms, TalkWyse grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Service during your subscription period for your internal business use.

8.3 Copyright and trademarks. You must not remove or alter any proprietary notices. You must not use TalkWyse’s name or branding in a way that suggests endorsement by TalkWyse or by any Integration platform.

8.4 Copyright complaints (recommended). If you believe Content in TalkWyse infringes your copyright, contact [LEGAL@YOURDOMAIN] with:

identification of the copyrighted work,
identification of the allegedly infringing material,
your contact info,
a statement of good faith belief,
a statement under penalty of perjury that your notice is accurate,
your signature (physical or electronic).

We may remove or restrict access to allegedly infringing Content where appropriate.

8.5 Repeat infringement. Where appropriate and legally required, we may terminate accounts of repeat infringers.

9) PRIVACY

Your use of TalkWyse is also governed by our Privacy Policy, which describes:

what data we collect and store,
why we collect it,
who we share it with,
retention and deletion processes,
how to contact us.

10) SUBSCRIPTIONS, BILLING, AND PAYMENTS (MONTHLY)

10.1 Monthly subscription. TalkWyse is offered as a monthly subscription unless otherwise stated in writing. 10.2 Billing in advance. You authorize us (and our payment processor) to charge your payment method in advance on a recurring monthly basis. 10.3 Taxes. Prices may exclude taxes unless stated. You are responsible for applicable taxes (VAT/sales tax) unless we are required by law to collect them. 10.4 Failed payments. If a payment fails, we may retry charging your payment method and may suspend access until payment is received. 10.5 Cancellation. You can cancel at any time. Unless required by law, cancellation takes effect at the end of your current billing month. 10.6 Refunds. Fees are non-refundable except where required by law or explicitly stated by us in writing.

11) SUSPENSION AND TERMINATION

11.1 Suspension/termination by TalkWyse. We may suspend or terminate access immediately if we reasonably believe:

you breached these Terms,
your use creates security, legal, or operational risk,
a platform or law requires us to do so.

11.2 Termination by you. You may stop using TalkWyse and cancel your subscription at any time.

11.3 Effect of termination. Upon termination:

your right to use the Service ends,
your Workspace may be disabled,
data handling and deletion follow the Privacy Policy and any applicable retention settings (subject to backups and legal obligations).

12) DISCLAIMERS

To the maximum extent permitted by law:

The Service is provided “AS IS” and “AS AVAILABLE”.
We disclaim all warranties, including merchantability, fitness for a particular purpose, and non-infringement.
We do not guarantee that message delivery, sync, ordering, or platform-provided statuses (delivered/read) will always be accurate or timely.
TalkWyse is not responsible for outages, changes, or restrictions caused by third-party platforms or their APIs.

13) LIMITATION OF LIABILITY

To the maximum extent permitted by law: 13.1 No indirect damages. TalkWyse is not liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, goodwill, or data. 13.2 Liability cap. TalkWyse’s total liability for all claims related to the Service will not exceed the total fees paid by you to TalkWyse in the one (1) month immediately preceding the event giving rise to the claim.

Some jurisdictions do not allow certain limitations, so these may not apply to you to the extent prohibited by law.

14) INDEMNITY

You agree to indemnify and hold TalkWyse harmless from any claims, damages, losses, and expenses (including reasonable legal fees) arising from:

your Content,
your use of the Service in violation of these Terms,
your violation of Platform Terms,
your violation of law or infringement of third-party rights.

15) GOVERNING LAW; DISPUTES

These Terms are governed by the laws of [JURISDICTION/COUNTRY], excluding conflict-of-laws rules. Any disputes will be resolved in the courts of [CITY/COUNTRY], unless applicable law requires otherwise.

16) CHANGES TO THESE TERMS

We may update these Terms from time to time. If changes are material, we will provide notice (for example, in-app or by email). Continued use after the effective date means you accept the updated Terms.
